Transitional filers, foreign acquisition exemptions, agricultural exemptions
The Commission has finalized several rules concerning premerger notification, reporting, and waiting period requirements under the 1976 Hart-Scott-Rodino (HSR) Antitrust Improvements Act to, among other things:
* Restore the five-year grace period for transitional filers;
* Remove an exemption for associated agricultural assets; and
* that sales in the most recent fiscal year will be used to measure sales in or into the U.S. for exemptions for acquisitions of foreign assets and voting securities.
