VANCOUVER, British Columbia -- Enwin Resources, Inc. (OTCBB: ENWN) ("Enwin") today announced that it has reached an agreement to acquire D2Fusion, Inc. ("D2Fusion") from Solar Energy Limited (OTCBB: SLRE) ("Solar") in exchange for 30,000,000 shares of Enwin common stock.
The agreement further requires that Enwin have $2,000,000 in working capital available on or before closing to fund D2Fusion's 12-month business plan and that Enwin cancel 30,000,000 shares of its outstanding share capital prior to closing. Solar is also entitled under the agreement to nominate two of three individuals proposed for appointment to the Enwin board of directors.
Enwin intends to change its name to "D2Fusion Corporation" and consummate the acquisition as soon as is practicable.
D2Fusion, a Foster City, California and Los Alamos, New Mexico based company, is focused on developing and delivering low-cost, clean, waste-free, practical nuclear energy applications for use in a wide range of environments from homes to industry.
