Feintool International Holding, sise a Lyss (Be), emet un emprunt d'un montant de CHF 50 millions, avec une option de surallocation (Greenshoe) de CHF 25 millions. Les obligations emises pourront etre converties en actions nominatives de la societe d'une valeur nominale de CHF 50.-. Ce nouvel emprunt servira a refinancer l'emprunt convertible arrivant a echeance en fevrier 2005 et sera pris en charge par un consortium de banques, dont le chef de file est la swissfirst Bank AG, Zurich.
Les actionnaires de Feintool International Holding se verront accorder du 18 au 26 mars 2004, 12h00, un droit de souscription anticipee non negociable sur l'emprunt convertible. Chaque action nominative confere un droit de souscription anticipee, l'acquisition de 7,543 droits de conversion donnant droit a la souscription d'une obligation convertible d'une valeur nominale de CHF 1000.-. L'emprunt convertible arrivera a echeance le 8 avril 2009.
