Nanogen Inc. (10398 Pacific Center Ct., San Diego, CA 92121; Tel: 858/410-4600, Fax: 858/410-4848) and Hitachi Ltd. (Tokyo, Japan), acting through its Instrument Group, executed an agreement on the full-scale commercial manufacturing and distribution of Nanogen's proprietary NanoChip instrument system in specified research markets. In cooperation with Nanogen, Hitachi's Instrument Group will provide proprietary technology of it own and technical support to aid in the manufacturing scale-up of Nanogen's NanoChip instruments.
Initially, the two companies will cooperate concerning the preliminary production phase of the NanoChip product. Once the commercial confirmation is completed, both parties will further agree that Hitachi will have the right to be the sole distributor of Hitachi-produced NanoChip instruments in Japan. Hitachi will also have the nonexclusive right to distribute NanoChip cartridges in Japan. Nanogen retains the right to distribute directly or through additional partners, Hitachi-produced NanoChip instruments outside of the Japanese territory. In addition, Nanogen will develop and manufacture the NanoChip cartridges for all partners and for distribution worldwide. The agreement is nonexclusive and excludes certain clinical markets. Financial terms of the deal were not disclosed.
