Section: SET Filing - Pursuant to the Director's Meeting of the Mandarin Hotel Public Company Limited No.3/2010 on Wednesday July 28, 2010 at 13.00 hrs. at Pornpilin Room of the Mandarin Hotel 662 Rama 4 Road Mahapruktaram District,Bangrak, Bangkok. Miss Piengjai Harnpanich presided over the meeting then convened the meeting. The meeting has resolved as follows: 1. To certify the minutes of the Director Meeting No2/2010 2. Approved to propose to the Extraordinary Shareholders' Meeting No 1/2010 to consider and approve the decrease of registered capital from 250,000,000 Baht (Two hundred fifty million Baht) to 220,000,000 Baht (Two hundred twenty million Baht) equivalent to paid up capital by cutting common shares which have been registered but do not distribute at the amount of 3,000,000 shares (three million shares) wint a par value of Baht 10 each.

3. Approved to propose to the Extraordinary Shareholders' Meeting No 1/2010 to consider and approve the amendment of Company's Memorandum of Association article 4 in accordance with the decrease of registered capital the …
