Jul. 31--FNB, meet VFG.

The two bank holding companies plan to combine in a merger of equals.

The combination of FNB Corp. and Virginia Financial Group Inc. would create one of the largest independent bank holding companies in Virginia.

The merger is expected to be completed in the fourth quarter, subject to regulatory and stockholder approvals.

The new holding company is to be based in Charlottesville. Its banking subsidiary and operations center is to be based in Christiansburg, current home base for FNB. VFG is based in Culpeper.
