Cap Gemini of America Inc. is suing two former executives for investing in and joining a separate data processing firm and using proprietary information to compete for clients.

In a lawsuit filed in Dallas federal court, the international consulting and computer company alleges that Donald Kelly and Dale Baker violated employment agreements that forbade them from directly competing with Cap Gemini for 18 months after leaving the company. Kelly is an investor in Plano-based Ultimate Software Group Inc., and Baker is an employee of Fort Lauderdale, Fla.-based Ultimate Software Group Ltd., according to court documents.
